The Vastness of Night. “The two most effective, engaging forms of advertising are in-theatre and overnight radio,” says Walter Sterling. “Surrounded by darkness without distractions, the audience choses to receive the advertising message in the comfort of a bed, perfectly adjusted car seat, or reclining throne. Overnight radio is 25% of the broadcast day. Twenty-five percent. A locally hosted all-night show in a major city is a gift to listeners and advertisers.” You say you can’t afford an all-night talk radio host? Read more of what Walter Sterling has to say here.

Edison Research Q1 Top 50 Podcasts Chart; Controversy Has Not Hurt Joe Rogan. The Edison Podcast Metrics chart of the top 50 podcasts in the U.S. for the first quarter of 2022 has been released and the controversy surrounding Spotify’s “The Joe Rogan Experience” in 2021 has not harmed listening; in fact, it appears to have helped it. Edison Research director of research Gabriel Soto says, “Despite a turbulent and controversial ride for Joe Rogan at the beginning of the quarter, his show not only remains the most popular in the U.S., but it has increased in listenership – distancing itself from the number two spot.” This chart by Edison ranks the 50 biggest podcasts by audience size, based on Edison Podcast Metrics (formerly known as the Podcast Consumer Tracking Report). Edison says its list is “the only podcast measurement service that measures the relative audience size and demographics of all podcast networks in the U.S. and measures based on actual podcast listening, not downloads, and does not require an opt-in from podcast networks. Some of the other podcasts making the chart connected to radio-oriented companies include: #6 “Stuff You Should Know” (iHeartPodcasts), #9 “The Ben Shapiro Show” (The Daily Wire), #18 “The Dan Bongino Show” (Cumulus Podcast Network), #31 “The Dave Ramsey Show” (The Ramsey Network), and #39 “The Mark Levin Show” (Cumulus Podcast Network).

IBA executive director Ron Stone comments, “One of the most costly expenditures for independent radio is paying for syndication, whether by cash, barter, or a combination thereof. Our goal is to provide our IBA members with an opportunity to choose cost-effective talent from other IBA members and eliminate the need to give local inventory to large networks that sell to the very clients we used to do business with nationally, and at far better prices than network pricing. This, I believe, is a huge opportunity to get back inventory used against us at extremely low prices.”

Broadcast and digital operating income was approximately $48.4 million, an increase of 33% from the same period in 2021. Net income was approximately $16.4 million or $0.32 per share (basic) compared to $7,000 or $0.00 per share (basic) for the same period in 2021. Urban One CEO and president Alfred C. Liggins, III, states, “We had extremely strong first quarter performance across the platform, with advertising revenues up double-digit percentages in all of our operating segments. Digital revenues were up 49.5%, cable TV advertising revenues were up 46.9%, and radio advertising, excluding political and digital, was up 17.4%. This enabled us to grow Adjusted EBITDA by 38.9% year-over-year, and by $14.3 million or 51.6% vs. Q1 2019. Looking back at pre-pandemic revenues, when we aggregate our radio broadcasting, syndication, events and digital operations, net revenues were up 11.5% compared to Q1 2019. Cumulus Announces $25 Million Stock Buyback. On the heels of yesterday’s first quarter financial report and the board’s authorization of a $50 million buyback program, Cumulus Media Inc. announces its intention to commence a “modified Dutch auction” tender offer to purchase up to $25 million of shares of its Class A common stock, or such lesser number of shares of its Class A common stock as are properly tendered and not properly withdrawn, at a price not greater than $16.50 and not less than $14.50 per share of Class A common stock, to the tendering shareholder in cash, less any applicable withholding taxes and without interest (the “Offer”). Cumulus president and CEO Mary G. Berner says, “Following yesterday’s announcement of the board’s authorization of a $50 million share buyback program, we are launching this tender as a first step in our capital return plan. This action is underpinned by our strong financial and operating momentum, our continued belief that the company is significantly undervalued and our desire to allow shareholders who seek it the ability to take advantage of the liquidity we can provide them. It is also our expectation that, even with this tender offer, we will be below our target of 3.5x net leverage by year end with significant continuing liquidity and financial flexibility for accretive M&A.” Cumulus will conduct the Offer by means of a procedure commonly called a “modified Dutch auction.” This procedure allows shareholders to select the price, within a price range specified by Cumulus, and the number of shares they are willing to sell at that price (or, should a higher price be determined as the “purchase price,” such higher price). The Offer is being made under Cumulus’s previously announced $50 million share repurchase program.

Hosting my own show on the radio home of Bongino, Shapiro, and Levin will allow Dubiel to speak directly to the people. FCC’s Carr Says Agency Has No Authority in Twitter Acquisition. Responding to the Open Markets Institute’s appeal to the Federal Communications Commission, the Department of Justice, and the Federal Trade Commission to block the acquisition of Twitter by Elon Musk, FCC commissioner Brendan Carr issued a terse statement: “The FCC has no authority to block Elon Musk’s purchase of Twitter, and to suggest otherwise is absurd. I would welcome the full FCC making it clear that we will not entertain these types of frivolous arguments.” The Open Markets Institute says in its statement, “The most obvious problem is that the deal would give to a single man – one who already wields immense political and economic power – direct control over one of world’s most important platforms for public communications and debate. As has been true from the Founding, the American people have an absolute right to ensure the full openness and neutrality of all essential public infrastructure. Specific to communications, we see this in Article I, Section 8 of the Constitution, in the Telegraph acts of 1860 and 1866, the Mann-Elkins Act of 1910, the Communications Act of 1934, and many other federal and state laws. Americans have also repeatedly used our antitrust laws to prevent concentrations of power over communications, speech, debate, and news.” Read the organization’s release here.

WWO Blog: Nielsen Data Shows Spoken-Word AM/FM Content Accounts for 36% of American Streaming. The Westwood One Audio Active Group blog post is a “comprehensive analysis of AM/FM radio streaming” based on Q4 2021 data from Edison Research’s quarterly “Share of Ear” study. Among the key conclusions from the study are: 1) The streaming shares of spoken-word AM/FM radio stations are nearly double their over-the-air shares. Spoken-word AM/FM radio station streams (news/talk, sports, talk/personality, Spanish news/talk) represent 36% of all American streaming listening, 89% greater than the over-the-air share (19%) of spoken word stations; 2) 89% of the AM/FM radio streaming audience resides in the DMA market where they stream. Marketers can purchase time on AM/FM radio station streams with the confidence that their ads will reach consumers in that local market; 3) There is wide variation in the amount of AM/FM radio stream listening that occurs in local markets. According to Nielsen’s analysis of the February 2022 Portable People Meter data, 18.4% of all AM/FM radio listening in Philadelphia occurs via the stream compared to only 3.9% of listening in Las Vegas; and 4) AM/FM radio streaming audiences are employed, upscale, and most are 35-64. The streams of AM/FM radio stations are highly desirable to advertisers. Compared to the over-the-air AM/FM radio audience in Nielsen’s 48 Portable Meter Markets, streaming audiences are 14% more likely to be employed full time, 30% more likely to have a $75K+ household income, and 11% more likely to be aged 35-64. WHAM/WSYR Talk Host Bob Lonsberry Pens Blog Post About Personal Mental Health. Longtime WHAM, Rochester and WSYR, Syracuse talk host Bob Lonsberry’s April 20 post to his blog reveals a man searching for help to deal with mental health issues he confesses have plagued him his entire life. The blog doesn’t go into specific detail about his own struggles but does document to some degree his family history of mental illness, especially that which tormented his mother for most of her life. He begins the post saying, “This column is not intended to elicit sympathy or be seen as courageous. Not by any means. It is rather a report on the final desperate action of a man who has destroyed the lives of his family, hurt countless other individuals, failed at his religion, and probably devolved from narcissist to sociopath. This isn’t pretty or sweet, but neither is it manipulative or attention seeking. It’s just a column. Please, leave me the delusion that I’m a writer. And if me being nuts makes you more comfortable asking if you might be nuts, too, and maybe need some help, too, then good. That’s the point.” Read the blog post here.

Since the early 1990s, TALKERS editors – with input from industry leaders – have compiled this annual feature created to recognize the hard-working talk radio personalities in America. TALKERS executive editor Kevin Casey says of this 2022 edition, “Creating the Heavy Hundred is always a challenging task for our editorial staff. Our use of both hard and soft factors in evaluating candidates for the list only adds to the difficulty in selecting the “most important” radio talk show hosts, but it’s a project that allows us to really get a big-picture look at the key players in this format and it’s something that we take very seriously. Congratulations to all of the talk radio personalities who are recognized on this year’s Heavy Hundred!” See the list here.

Kidney Transplant a Life-Changing Event for WHUB, Cookeville’s Brent Carl Fleshman. TALKERS magazine managing editor Mike Kinosian writes today about Cookeville, Tennessee talk radio host Brent Carl Fleshman who recently underwent a lifesaving – and life-changing – kidney transplant. Fleshman serves with Zimmer Broadcasting’s Cookeville station group where he hosts the morning drive show on news/talk WHUB “News Talk 107.7 and 1400 The Hub” and serves as program director, among other duties. In May of 2014, Dr. Barbara Fleming was doing a segment on Fleshman’s program when she noticed something about Fleshman that concerned her. She prompted him to seek treatment at Nashville’s Vanderbilt University and he got into the hospital’s kidney transplant program. Fleshman says, “I’ve been given a second chance with this kidney and am grateful to the man who signed that donor card [making it possible for me to] continue doing what I love every day. I intend to make the most of it. I look forward to getting back on the air soon and have asked Dr. Fleming to be on my first show. If [the host of WHUB’s 30-minute Saturday health program, ‘Your Best Health Connection’] hadn’t noticed my symptoms eight years ago and gone to Vanderbilt with me, I would never have seen this day. Radio saved my life.” Read his story here.

Comrex to Unveil Gagl Remote Contribution Solution at NAB Show. The newest remote contribution solution from Comrex will be showcased at the NAB Show in Las Vegas April 23-27.  Dubbed Gagl, this new cloud service delivers conferenced audio from multiple contributors in high-quality. Gagl allows between one and five users to send and receive audio from computers and smartphones. Participants can connect and send audio by simply clicking a link using any common web browser. Their audio is conferenced (if there’s more than one user) and delivered to a Comrex hardware codec such as an ACCESS or BRIC-Link. All participants can hear other participants, and the codec can send audio back to them. Comrex says Gagl could be used as the hub for a round-robin reporting program or for a large-cast radio show to support multiple simultaneous connections at once. Because it offers low latency, it’s appropriate for call-in talk radio. Gagl could also be used to allow a single contributor to connect back to the studio from a computer or smartphone. Designed with audio quality in mind, Gagl provides stable connections with limited bandwidth. Gagl uses the Opus audio encoder, with a bit rate that delivers both voice and music in excellent quality. Gagl also delivers audio directly to a Comrex codec with all the stability enhancements, pro-grade audio connections, and features that hardware codecs provide. With a simple user interface, Gagl is easy for users with any level of technical expertise to use. Gagl works with Comrex hardware IP audio codecs including the AES67-compatible ACCESS NX Rack IP audio codec and ACCESS MultiRack multi-channel IP audio codec as well as the BRIC-Link series – a sneak peak of the next addition to the BRIC-Link codec line will also be featured at the 2022 NAB Show. LiveShot (a bonded IP solution for live video) and other IP audio solutions for IFB and POTS and /ISDN replacement can be found at the Comrex booth C3024 in Central Hall along with a “behind the curtain” look at some new concept products.

BLOCK ISLAND, RI — And the hits just keep-on comin.’ “Hits,” literally! For a couple days, that Chris Rock-Will Smith moment upstaged even the horrors in Ukraine. And now the wife of a sitting Supreme Court justice is in hot water. Infamy is nothing new. Remember the congressman who said that “in cases of ‘legitimate rape,’ the female body has ways to try to shut that whole thing down?” Or when John Lennon said, “We’re more popular than Jesus?”

By day, Phoenix is a semi-pro MMA fighter — but by night, he slinks through the streets of Rain City, patrolling Seattle for crime amongst a motley crew of former soldiers, ex-cops, recovered addicts, and reformed criminals. As remarkable a group and a mission as The Rain City Superhero Movement was, ultimately, the truth behind the myth is far more complicated. CARMEL, Ind. — I usually write about programming in this space. Today I am writing about a promotional idea that can result in extraordinary returns. It saves lives. I also have an ulterior motive.

Consider teaming up with a local hospital or medical group and do a health fair. Offer free admission to your listeners. Give them information on healthy eating, ways to quit smoking, the best exercise, cholesterol and other on-site testing and demonstrations. Not an original idea, of course, but one worth doing on a regular basis. There are also many programming and sponsorship opportunities here.

Monday Memo: Is Your Show the Dog? Or the Tail?

By Holland Cooke

BLOCK ISLAND, RI — Lots of response to last week’s “Weekend Warriors, Renegotiate.” SOME stations were horrified by what I’m telling their brokered ask-the-expert hosts. SMART stations already offer the win-win template I outlined. ICYMI: https://www.talkers.com/2022/03/21/monday-memo-weekend-warriors-renegotiate/

 FMs are scrambling. AMs? Ugh.

As if AM wasn’t already suffering listener demographics, technical interference, caricature programming, and too little local content, now comes the proposal to make Daylight Saving Time permanent. From November through February – when local sunrise would come between 8:00 am and 9:00 am – later pattern and power change times would cripple full-time stations. Daytimers would be utterly screwed if smart ones with translators hadn’t already rebranded as FMs (as have so many full-time AMs).

Townsquare Media to Acquire Cherry Creek Broadcasting for $18.75 Million. This deal for Townsquare Media, Inc. to acquire Cherry Creek Broadcasting LLC for $18.75 million will add assets including 35 radio stations in nine markets to Townsquare’s portfolio, which will include 356 stations in 74 markets when the deal is closed sometime in the third quarter of this year. To accomplish the transaction, and due to FCC ownership regulations, Townsquare will divest six radio stations in Missoula, Montana, to Anderson Broadcasting, Legacy Broadcasting (a non-profit organization), and Missoula Community Radio (also a non-profit organization), and place two radio stations in Tri-Cities, Washington in a divestiture trust. Townsquare says this transaction solidifies its position as the only local media and digital marketing solutions company of scale focused principally on markets outside of the top 50 in the United States, a vital differentiator for the company. Company CEO Bill Wilson comments, “We are very excited to announce the acquisition of Cherry Creek’s market leading local media brands. The acquisition includes many local heritage brands with strong competitive positions, meaningful audience share, and very talented local teams. This represents an excellent opportunity to deploy our Digital First Local Media strategy across a broader footprint, bringing our national scale, strong digital platform, and resources to the local communities and local businesses in these markets, building upon the strong relationships these local teams have already built with their communities. We look forward to accelerating the digital growth in these markets as we implement our flywheel of powerful and effective marketing and advertising (digital and radio) solutions and technology platforms, in combination with our highly relevant, localized content on air and online. We believe this acquisition furthers our goal of being the #1 Digital First Local Media Company in markets outside of the top 50 in the United States.” This transaction is being funded with cash on hand and Townsquare CFO Stuart Rosenstein states, “This acquisition represents a compelling use of capital that aligns with our priorities of investing in our local business through both organic investments and prudent acquisitions that support our revenue and profit growth. This acquisition is net leverage neutral and due to the strong cash generation of our business and the acquired assets, will not impact our ability to reach our goal of 4x net leverage by year end.” The Cherry Creek LLC stations in this deal are located in the following markets: Butte, Great Falls, and Missoula, Montana; Montrose, Colorado; Sierra Vista, Arizona; St. George-Cedar City, Utah; Tri-Cities and Wenatchee, Washington; and Williston, North Dakota.

A new deal between Cumulus Media’s Chicago news/talk WLS-AM and WestStar TalkRadio Network is bringing Kim Komando to the station’s listeners for a one-hour, Friday night program produced exclusively for WLS. Now she brings that experience to Friday nights at WLS, where listeners will learn more about why tech matters.” Komando comments, “People have different interests — politics, cars, cooking — you name it. But there is one thing that affects us all and that’s tech. It’s hard to navigate Big Tech taking our privacy along with the hackers, scammers and stalkers. You can Google anything. You can’t Google trusted advice and that’s why I am honored to be our nation’s premier digital expert. I’m thrilled that WLS sees my show worthy for the Friday schedule. Tech isn’t a hobby. It’s our lives.”

‘Free Talk Live’ Co-Host Ian Freeman is This Week’s Guest on Harrison Podcast. A self-described “activist for liberty” for the past two decades, Ian Freeman co-hosts (with Mark Edge) the independently syndicated radio show “Free Talk Live.” The program emanates from Keene, New Hampshire and airs seven nights a week between 7:00 pm – 10:00 pm ET. In addition to the two co-hosts, the show presents a rotating panel of regular personalities – such as one individual whose legal name is Nobody – described as ministers of the Shire Free Church (the show’s parent organization) and features various voices from New Hampshire’s liberty activist community. It has guests and takes callers from across the nation. Although still on the air regularly, Freeman is currently under federal arrest on a wide array of charges ranging from money laundering to wire fraud. Freeman will begin his trial later this year. Stand by for a fascinating conversation about the First Amendment, freedom of speech, liberty, civil disobedience, and the role and impact of cryptocurrency in our modern society – the connection to which a number of Freeman’s legal troubles are related. Edison: 39% of Americans 12+ Have No Radio in the Home. Calling it “radio’s hardware problem,” Edison Research says that data from its soon-to-be-released The Infinite Dial 2022 report indicates that over the last two years, the number of Americans 12+ who report not having a radio in their home has risen almost 10% with 39% reporting no radio in the home. Just 14 years ago that figure was 4%. Edison Research president Larry Rosin says, “Of course, nearly all cars have AM/FM radios easily available, and people can listen to the content of radio stations on their phones or smart speakers. However, the elimination of the standard, single-use radio from so many households makes the challenge that much harder in the location that most people spend the most hours.” Many consider the smart speaker to be the new in-home radio. Edison says it will present smart speaker adoption data when it reveals The Infinite Dial 2022 at Podcast Movement Evolutions on March 23.
