Michael Harrison Tells “America at Night with Rich Valdés” National Audience “I’m Not Going to Be an Alarmist” About George Soros Acquisition of Audacy Debt

Although acknowledging the potential of George Soros eventually leveraging his fast-track acquisition of a $400 million debt stake in Audacy’s 227 radio stations to wield left wing political influence, TALKERS publisher Michael Harrison says, “I’m not going to be an alarmist” that the hedge fund billionaire wouldim be able to alter the course of established radio stations and the marketplace of ideas before the 2024 election or even soon thereafter. Harrison told “America at Night” host Rich Valdés last night (5/22) that radio is far too idiosyncratic an industry – already run by too many people who don’t understand how it really operates – for someone (who also doesn’t really have first-hand experience in the field) to just step in and make drastic alterations to entrenched stations, formats, audiences and sponsors just to make a political statement. Harrison states, “There are more imexpedient uses of his money if that is his main purpose. After all, not all Audacy stations are conservative news/talkers… many are music, sports and a variety of formats. How inefficient such a move would be!” Harrison went on to say that radio is still an extremely powerful and potentially lucrative medium if only its present owners and operators believed in it and invested in its programming and marketing. He encouraged radio broadcasters to understand and believe in the “esthetic of ‘radio’ and not be so anxious to bail out into the utilitarian term ‘audio.’” Harrison and Valdés tied the discussion into the current news about the AM for Every Vehicle Act currently making its way through Congress stating that radio is still a lifeline for service to the community as a place for information, education, and entertainment and that eliminating it from automobile dashboards would be about “five to 10 years premature.” Listen to last night’s conversation here.

Audacy Files Opposition to MRC’s Petition to Deny with the FCC

Late last month the conservative media watchdog group Media Research Center filed a Petition to Deny with the FCC regarding Audacy’s seeking a waiver of foreign ownership disclosure obligations in order to emerge from Chapter 11 reorganization. Last week, Audacy filed its opposition to the Petition to Deny with the FCC. In it Audacy argues that first, the petition is procedurally defective, but goes on to argue that even if it is considered an informal objection, it is defective because “the Commission hasim determined that granting a limited waiver deferring its foreign ownership review to facilitate a licensee’s prompt emergence from bankruptcy is consistent with the Communications Act.” Further, Audacy says, “According to the MRC, Audacy is attempting to employ an ‘entirely new’ and ‘vague and undefined’ special warrant process’ to delay the Commission review of Audacy’s proposed foreign ownership until ‘sometime down the road’ when the company ‘may choose’ to file a petition for declaratory ruling seeking such review. This specious claim not only mischaracterizes the company’s waiver request detailed in the Application, but completely ignores longstanding precedent establishing the Commission-approved special warrant process used in a number of prior transactions to allow licensees to emerge from bankruptcy promptly, while affording the Commission sufficient opportunity to review foreign ownership issues post-emergence.” Separately, FCC Chairwoman Jessica Rosenworcel responded to Congressman Nicolas Langworthy (R-NY) and Congressman Chip Roy (R-TX), who both wrote to her implying that the Commission is not going through “its normal, statutorily required process” and voiced concern over Soros Fund Management’s acquisition of Audacy debt. Langworthy wrote that Audacy being “owned by a deeply partisan individual [George Soros], could have a fundamental impact on the nature of local radio and potentially silence political viewpoints.” Rosenworcel’s response indicates she believes the Commission is handling the matter appropriately, saying, “The Bureau staff will review the record and decide if the transfer is in the public interest pursuant to Section 310(d) of the Communications Act.”

Audacy Files Final 2023 Fiscal Report with SEC

Audacy filed its 10-K annual report with the Securities and Exchange Commission on Friday (3/22) as it prepares to emerge from Chapter 11 reorganization. The company is waiting on FCC approval. Inim reporting is operating results for 2023 it reveals net revenue of $1.16 billion, a decrease of 6.75% from the full year 2022. The company was hampered by an impairment loss of $1.3 billion in 2023, compared to the impairment loss of $180 million reported in 2022. That and other factors led to total operating expense soaring to $2.5 billion, compared to the total operating expense of $1.32 billion in 2022. The company posted a net loss of $1.13 billion in 2023, compared to the net loss of $140 million reported for 2022.

Cumulus Media Partners with Rhode Island Football Club

Rob Parker to Build Detroit Sports Talker with Black Talent

This story was first reported by the Detroit News last week. Awful Announcing summarizes the piece as sports media personality Rob Parker and retired NBA player and current agent B.J. Armstrong areim building “Sports Rap Radio” to air on Audacy’s WXYT-AM, Detroit with a target launch of mid-May. In what will likely be a first in sports talk radio, the lineup of air talent will be all-Black. WXYT-AM currently airs Audacy’s BetQL Network programming. Parker is quoted by the Detroit News saying, “It will be young people getting opportunities and former athletes, from Detroit or with ties to Detroit.” The lineup will be local from 7:00 am to 7:00 pm and will segue into FOX Sports Radio’s “The Odd Couple” featuring Parker and Chris Broussard at 7:00 pm. U.S. Rep Gottheimer Unveils Action for Warning Sticker Cars with No AM Radio

New Jersey Democrat Josh Gottheimer (pictured) yesterday (1/29) announced “new action to protect AM radio in electric vehicles and ensure potential buyers know which cars and trucks have AM radio and those that don’t.” Calling AM radio “a vital public safety and emergency management tool that hasim served as the sole lifeline during times of crisis like 9/11, Hurricane Sandy, and other major storms and floods,” Gottheimer has sent a letter to the National Highway Traffic Safety Administration, urging them to require auto manufacturers that exclude AM radio reception from their motor vehicles to display a safety warning in the car’s window sticker that should read: “Warning: No AM Radio. Vehicle Unsafe in Certain Emergencies.” Gottheimer is also a supporter of the AM Radio for Every Vehicle Act that would require auto manufacturers to keep AM radio in vehicles, without charging customers extra for it. Gottheimer says, “Buying a car without AM radio is like buying a car without an emergency parking brake. You may not use it every day, but you’ll be glad you have it if your brakes ever go out.”

WWO: Study Reveals What Ads Resonate with Podcast Listeners

Westwood One’s Audio Active Group blog presents data from the Cumulus Media and Signal Hill Insights Podcast Download report. The companies retained MARU/Matchbox to conduct an in-depth study of 608 weekly podcast consumers in October 2023 and this blog post focuses on podcast ads. The study finds that podcast consumers prefer funny and entertaining ads but 78% say they currently hearim more ads that communicate dry features/benefits. Additionally, research indicates that converting existing demand and creating future demand require different creative/copy approaches and different media strategies. Converting existing demand is most efficiently achieved by tightly targeting those “in the market” with rational messaging of product and price information that persuades them to choose the advertiser’s product over others. Creating future demand is most efficiently achieved by targeting very broad audiences of “all category buyers” with emotional messaging that is designed to stand out and be enjoyed by consumers, creating positive memories of the brand that will influence future purchase decisions. Finally, podcast consumers are invested in the success of their favorite shows. Audacy Negotiating with Lenders for Bankruptcy Filing

According to a report in the Wall Street Journal and picked up by various financial publications including The Business Journals, Audacy will file for chapter 11 bankruptcy protection after several months of discussions with its lenders. In what is termed a pre-packaged bankruptcy deal because it comes withim the blessing of the lenders, the company will be owned by those same lenders. Audacy’s debt is approximately $2 billion. It began talks with lenders in October after the company sought and received amendments to its credit facilities because it is unable to make interest payments due largely to the industry-wide downturn in advertising revenue. The 2017 acquisition of the CBS Radio assets is cited among industry watchers as the move that pushed Audacy into its currently precarious situation.

Dan Bongino Renews Deal with Westwood One

Cumulus Media’s Westwood One announces that talk host Dan Bongino extends his contract to host both his eponymous syndicated daily radio program and his podcasts, including the unique podcast “The Dan Bongino Show,” on the Cumulus Podcast Network for multiple years. This comes a couple of years after Bongino said he would not renew his contract when it ran out because of his very public protestationim over Cumulus’ mandatory COVID-19 vaccine policy. WICC, Bridgeport Host Lisa Wexler’s Interview with Mayor Confirms Ballot Stuffing

WICC, Bridgeport, Connecticut talk host Lisa Wexler’s Tuesday (12/5) program featured and interview with Bridgeport Mayor Joe Ganim who said he believes his supporters broke the law by mishandlingim absentee ballots but says he had nothing to do with it. He also says he won’t challenge a judge’s decision to toss the results of the September 12 Democratic primary election and possibly rerun the general election. Security cameras revealed people stuffing numerous absentee ballots into collection boxes in what appears to be a campaign of illegal ballot harvesting. Sports Journalist Donna de Varona Honored with NY Festivals Lifetime Achievements Award

New York Festivals Television & Film Awards announces that it will honor sports journalist, Olympic champion, and award-winning broadcasting pioneer Donna de Varona with the 2024 Lifetime Achievement Award. The New York Festivals Lifetime Achievement Award recognizes prominent industry leaders, innovators, and driving forces in the broadcast industry whose accomplishments haveim advanced their field and made a lasting impression on the industry. It will be celebrated at the Storytellers Gala honoring TV & Film Awards and Radio Awards trophy winners on April 16. Donna de Varona – a U.S. Olympic Hall of Famer – is currently a member of the board of directors of the United States Olympic and Paralympic Committee. She is renowned for covering 18 Olympic Games from multiple networks including ABC, NBC, CBS, and Turner. As a pioneer for women in sports, she played a key role in establishing the Women’s Sports Foundation, serving as its first president and chairman. She chaired the groundbreaking 1999 FIFA Women’s Soccer World Cup and contributed to the formation of the very first IOC athletes commission in 1981 during the IOC Congress in Baden-Baden, Germany.

WCCO-AM Raises Funds with 21st Annual “Hunger Mission Radiothon”

Audacy’s news/talk WCCO-AM, Minneapolis helped raise over $367,000 to provide meals and care for those in need through its 21st annual “Hunger Mission Radiothon” last Thursday (11/16). The annual radiothon benefits Union Gospel Mission Twin Cities and this year’s event brings the funds raisedim since 2003 to more than $4.3 million. WCCO brand manager Brad Lane says, “We are simply in awe of the incredible generosity of our fans! This is yet another great example of how live and local radio can truly impact lives.
