Urban One Reports Inability to File Form-10K on Time

Urban One files notice with the Securities and Exchange Commission of its inability to file both the Annual Report on Form 10-K for the fiscal year ended December 31, 2023 and, as a result, the Form 10-Q for the quarter ended March 31, 2024. The company explains that it has determined that it is unable to file the reports within the prescribed time period without unreasonable effort or expense due to theim reasons described below. The company says it is continuing to work diligently to file its Form 10-K as soon as possible and expects to be in a position to file the Form 10-K by May 31, 2024. “Additional time is needed for the company to compile and analyze supporting documentation in order to complete the Form 10-K and in order to permit the company’s independent registered public accounting firm to complete its audits of the consolidated financial statements and internal control over financial reporting included in the Form 10-K. The company expects its auditor will issue an unqualified opinion on the consolidated financial statements. The company has identified material weaknesses in the company’s internal control over financial reporting and as a result, expects some of its internal controls over financial reporting and disclosure controls will be ineffective as of December 31, 2023. The Annual Report will describe these material weaknesses, and the company is implementing plans to remediate them.”

Audacy chairman, president and CEO David J. Field comments, “Audacy delivered a solid start to 2024 with Q1 EBITDA increasing 173% vs the prior year. Second-quarter revenues are currently pacing up low-single imdigits, and we expect another quarter of substantial EBITDA growth, enhanced by our continuing work on expense reductions. Our improving results are predominantly attributable to a significant acceleration in digital revenue growth, continuing meaningful revenue share gains, and declining expenses as our transformational investments bear fruit. As previously announced, we received court approval of our consensual pre-packaged Plan of Reorganization, which will reduce our debt by 80%, and are now awaiting FCC approval to complete the process. I want to salute our team for their excellent work in driving financial and operating progress while simultaneously executing our reorganization plan, all without disruption to customers, listeners, partners, vendors or our staff.

Salem Media Group Q1 2024 Revenue Down 8.3%

The first quarter of 2024 brought in net revenue of $58.6 million, a decline of 8.3% from the same period in 2023 for Salem Media Group. The company’s broadcast revenue fell 4.6% to $46 million, while its digital media revenue rose 1.9% to $10.7 million. The company reports a net loss of $5.1 million, basically the same as it reported in Q1 of 2023. Regarding its revenue,im Salem states, “Revenue growth from the sale of broadcast airtime is negatively impacted by audiences spending less time commuting, certain automobile manufacturers removing AM radio signals, increases in other forms of content distribution, and decreases in the length of time spent listening to broadcast radio as compared to audio streaming services, podcasts, and satellite radio. These factors may lead advertisers to conclude that the effectiveness of radio has diminished. We continue to enhance our digital assets to complement our broadcast content. The increased use of smart speakers and other voice activated platforms that provide audiences with the ability to access AM and FM radio stations offers potential sources for radio broadcasters to reach audiences. Our broadcast advertising revenue is particularly dependent on advertising from our Los Angeles and Dallas markets, which generated 15.3% and 18.4%, respectively, of our total net broadcast advertising revenue during the three-month period ended March 31, 2023, compared to 15.1% and 18.7%, respectively, of our total net broadcast advertising revenue during the three- month period ended March 31, 2024.”

First quarter 2024 net revenue for Townsquare Media was $99.6 million, down 3.4% from the same period in 2023. Broadcast Advertising net revenue was $45.5 million, down just 1% from a year ago. Townsquare CEO Bill Wilson comments, “I am pleased to share that Townsquare’s first quarter results met our previously issued guidance, and that we are building momentum and gaining market share, primarily due to our local focus and our unique and differentiated digital platform… Our first imquarter performance improved over the fourth quarter across each of our segments. Importantly, our Digital Advertising segment returned to revenue growth in the first quarter (+1.3% year-over-year), and our Townsquare Interactive segment achieved net subscriber growth and month-over-month revenue growth in March, a meaningful turning point for the business. In total, Digital represented 53% of Townsquare’s first quarter 2024 net revenue and Adjusted Operating Income. The strong cash generation characteristics of our assets provided us the ability to execute two attractive equity transactions in April using cash on hand: the accretive share repurchase of 1.5 million shares from MSG at an 11% discount to the pre-announcement share price, and an option buyout at an attractive price point, thereby avoiding shareholder dilution. In addition, during the quarter we repurchased $4 million of our common stock and paid a high-yielding dividend while also investing in our business. We ended the quarter with a strong cash balance of $57 million, and following the April equity transactions, maintained a cash balance of $28 million at the end of April, retaining financial flexibility moving forward.”

Harrison Memorial Award for Outstanding Community Service. Curley will be presented the honor at the forthcoming TALKERS 2024: Radio and Beyond conference on Friday, June 7 at Hofstra University on Long Island, NY. Curley has co-hosted 3:00 pm – 7:00 pm afternoon drive on the Bonneville-owned news/talker for the past several years after serving in various time slots during the past decade, includingim mornings and late nights at the heritage station. Prior to that he served for 15 years as the local host of the evening magazine program on Seattle’s KING5 NBC. During his career on KIRO, Curley has spearheaded a number of extremely creative and high-profile charitable promotions in addition to operating an independent business as a fund-raising auctioneer for charitable causes and organizations across the nation.  He raises an average of $80 million per year with this endeavor. In making the announcement, TALKERS founder Michael Harrison stated, “John Curley is a true on- and off-air original… iconoclastic, candid, and smart. His charity work as a radio personality over the years has been creative, entertaining, and effective.  However, it is his remarkable skill and productivity as an auctioneer for non-profits around America that is absolutely stunning. When John gets on that stage, he raises auctioneering to a heart pounding art form and drags every ounce of generosity out of his spellbound audiences. His patter is song and his moves are dance.” To see John Curley in action click here. Beasley Broadcast Group Reports Q1 Net Revenue Down 5.9%

The company says that net revenue for the first quarter of 2024 was $54.4 million, a decline of 5.9% from the same period in 2023, saying this was “primarily reflecting a year-over-year decline in audio advertising and other revenue due to Beasley’s Wilmington station and esports divestitures as well as ongoing softness in the commercial advertising business, partially offset by growth in digital and political advertising revenue.” Beasley reports net income of approximately $8,000 in Q1, compared to a net lossim of $3.5 million for the same period in 2023, “primarily due to the $6 million gain on the sale of an investment in BMI holdings and lower interest expense.” Company CEO Caroline Beasley states, “Beasley continues to advance our core initiatives, which are focused on driving revenue and cash flow, including our digital transformation, revenue diversification and expense management initiatives. We expect digital to account for between 20% and 25% of total revenue in 2024, driven by the ongoing growth and success of our premium content creation and digital services. On the new business front, our dedicated sales teams are leveraging the tremendous audience reach and engagement of our platform to attract new advertisers. In summary, Beasley’s underlying fundamentals – mainly, our local audio and digital platforms and audience engagement – remain strong. We are proud of our teams’ steadfast commitment to delivering exceptional content and services to our listeners, advertisers, online users and sports fans, and remain confident that the actions we are taking to transform our company and strengthen our balance sheet, are laying the foundation for future growth and success.”

Howie Carr to Receive 2024 Lifetime Achievement Award

The TALKERS editorial board has announced the selection of legendary New England radio talk show host Howie Carr as the 2024 recipient of the Jim Bohannon Memorial Award for Lifetime Achievement. Carr will be presented the honor at the forthcoming TALKERS 2024: Radio and Beyond conference on Friday, June 7 at Hofstra University on Long Island, NY. Carr has been a Boston-based radio talk show host since the 1980s, heard primarily on WRKO. WRKO is now one of more than 20 stations across theim region that carry Carr’s independently syndicated afternoon drive talk show. He is an inductee in the Radio Hall of Fame. With roots in investigative print journalism, Carr is the New York Times best-selling author of The Brothers Bulger and Hitman, in addition to several other Boston organized-crime books and two novels. He has remained in newspaper work that goes back prior to his radio career as an active columnist for the Boston Herald and has received a National Magazine Award for his work with Boston Magazine. Boston organized-crime boss Whitey Bulger was so infuriated by Carr’s groundbreaking reporting that he once put out a murder contract on Carr – a story detailed on “60 Minutes.” At his 2013 trial on murder and racketeering charges, Bulger tried to have Carr banned from the courtroom by calling him as a defense witness. Before he was brutally murdered in a gangland hit, the crime czar still said his greatest regret was not murdering Carr when he had the chance. Carr once taught a course at Harvard, where he had to cross a picket line against himself to get to his class. In making the announcement, TALKERS founder Michael Harrison stated, “Howie Carr is the real deal – the best of both the old and new schools in media. He was practicing ‘cross-platform’ journalism and commentary long before it became the digital-era norm. He’s got ink in his veins and RF in his brains. His impact in the Northeast has been so strong for such a long time that if the six New England States were to consolidate as one, he would possibly be its first governor.” Carr will be one of 60 industry leaders speaking at TALKERS 2024: Radio and Beyond. For more information, see story below.

Cumulus Reports Q1 Net Revenue Declines 2.7%

The company reports net revenue of $200.1 million in the first quarter of 2024, a decrease of 2.7% from the same period in 2023. Cumulus CEO Mary Berner states, “While our Q1 revenue was in line with guidance and a marked improvement from 2023 trends, it is also reflective of the uncertainty thatim continues to weigh on advertisers. With the advertising environment still unsettled, these new terms (spelled out in the preceding story) provide us additional time and flexibility to execute against our key business priorities – accelerating digital growth, reducing fixed costs, and continuing to de-lever our balance sheet – each of which is foundational to our ability to build long-term shareholder value.” The company took a net loss of $14.2 million in Q1, but it was far less than the net loss of $21.5 million it reported in Q1 of 2023. Cumulus breaks out its revenue in segments and the total broadcast revenue for Q1 of 2024 was $139.7 million, down 5.6% from Q1 of 2023. March 2024 PPM Ratings Takeaways – Part Four

imThe fourth and final round of ratings data from Nielsen Audio’s March 2024 PPM survey has been released for: Austin; Raleigh; Indianapolis; Milwaukee; Nashville; Providence; Norfolk; Jacksonville; West Palm Beach; Greensboro; Memphis; and Hartford. The March 2024 survey period covered February 29 – March 27. TALKERS managing editor Mike Kinosian presents his “Ratings Takeaways” from these 12 markets. Despite being a combined -2.5 in back-to-back down or flat sweeps (11.5 – 9.0 – 9.0, 6+), iHeartMedia news/talk WISN is #1 for the seventh consecutive month. For the fourth time in a row, crosstown format foe – Good Karma Brands’ WTMJ – is unlisted. Appearing at #22, Civic Media progressive news/talk WAUK “The Sha 101 FM” posts a .2 (6+). Repeating in fifth-place, Cumulus Media Nashville news/talk WWTN posts its third progressive trend for a combined +2.6 (3.9 – 5.4 – 5.7 – 6.5, 6+). Meanwhile in that Tennessee market, iHeartMedia’s similarly-formatted WLAC is trending 2.1 – 2.1 – 1.8 (January – February – March, #17 to #18, 6+). Albeit that their combined March 2024 6+ total is 4.8, three news/talkers surface in West Palm Beach’s top twenty. Specifically, Hubbard’s WFTL bounces back from a February dip of seven-tenths with a gain of three-tenths (3.0 – 2.3 – 2.6, ninth to eighth, 6+), while iHeartMedia’s WJNO is up or flat the third straight time (.6 – .9 – 1.1 – 1.1, #14 to #13, 6+) and ties co-owned WZZR (1.4 – 1.1, flat at #13, 6+). With a half-share March increase to 6.2 (sixth to fifth, 6+), Audacy Hartford’s WTIC-AM continues an alternating down-up-down pattern that began in October and has yielded an overall +1.1 (5.1 – 4.8 – 5.3 – .2 – 6.6 – 5.7 – 6.2, 6+). Remaining flat at 1.6 (6+), cross-town Red Wolf-owned WDRC-AM slips from #14 to #16. See Mike Kinosian’s complete “Ratings Takeaways” from this group of markets here.

WLS-AM, Chicago Celebrates 100 Years of Service

Cumulus Media news/talk WLS-AM celebrated 100 years on the air on Friday (4/12) and over the weekend. The station launched on April 12, 1924, at 6:00 pm. The station aired a two-part special hosted by Jeff Davis on Saturday and Sunday from 4:00 pm to 8:00 pm. Cumulus Chicago viceim president and market manager Marv Nyren says, “WLS is bigger than a destination on your radio dial – it’s a Chicago institution and treasure. 100 years ago, radio was simply sound communication via radio waves but there’s nothing simple about the impact of WLS on Chicago. WLS has been a neighbor, a friend, and a mentor for people in Chicagoland. It’s been a place where people can go for entertainment and information – and it’s been a companion to the biggest moments in history. We are excited to usher in WLS-AM’s next 100 years with Chicago’s best audio content on-air, online, on-demand, and onsite.”

Sharon Madison Named 2024 TALKERS Woman of the Year

im

Sharon “Sherry” Madison has been selected 2024 “Woman of the Year” by the TALKERS editorial board. She will be presented the Judy Jarvis Memorial Award for Outstanding Achievements in Talk Media by a Woman during TALKERS 2024 on Friday, June 7 at Hofstra University on Long Island. Mrs. Madison served as executive producer for her late husband Joe Madison’s long-running morning drive program on SiriusXM Satellite Radio’s Urban View channel since its debut on the platform in 2008. Prior to that she worked closely with her husband – a Radio Hall of Fame inductee – on his talk shows heard on a number of stations including WOL and WWRC in Washington, DC. The Madisons were married for more than 45 years. Joe Madison succumbed after a bravely fought battle with cancer earlier this year. The “Woman of the Year” award will be presented by legendary radio talk show host Larry Young of WOLB, Baltimore during a TALKERS tribute to Joe Madison at the conference. Upon announcing the choice, TALKERS publisher Michael Harrison stated, “This is a classic case of a great woman behind a great man. This brilliant, distinguished woman has served with skill and steadiness creating a landmark program of utmost importance as one of the truly outstanding producers to ever work in talk radio. In 2024, no one deserves it more.”
