LiveOne Issues Update on PodcastOne Spin-Out

LiveOne provides an update on the planned spin-out of PodcastOne. The previously announced plan would make PodcastOne a separate, publicly traded company on the Nasdaq exchange. LiveOne states that after the spin-out, it would own 74% of PodcastOne’s outstanding shares. For LiveOne shareholders, they would receiveim .048 shares of PodcastOne in the special dividend for each LiveOne share they own. LiveOne also says that the spin-out would allow for repayment of $3 million of PodcastOne’s convertible debt. However, LiveOne also states that “PodcastOne’s planned direct listing, amount of the special dividend and LiveOne’s shareholders’ dividend eligibility shall be subject to obtaining approval from the applicable national exchange and compliance with applicable rules and regulations and trading and listing requirements. There can be no assurance that PodcastOne’s efforts will result in the consummation of the proposed direct listing and/or special dividend.”

PodcastOne to Host Adam Carolla Pay-Per-View Event

PodcastOne is producing a live, pay-per-view event starring its leading podcast talent Adam Carolla. The June 4 show titled, “Adam Carolla & Friends,” airs at 9:30 pm ET from the Belly Up Tavern outside of San Diego and features Carolla plus comics Brad Williams, Kimbles Hume and other special guests. PodcastOneim says that in 2020, “Carolla made history when he partnered with LiveOne and PodcastOne for a livestream event that garnered an impressive 1.1 million views.”  PodcastOne president Kit Gray comments, “We are excited that PodcastOne and LiveOne have partnered with Adam to produce and distribute Adam’s very first headlining pay-per-view event. Very few comedians are as entertaining in an intimate club environment as Adam. Each show he performs is unique and tailored and to be able to bring this to a worldwide audience exemplifies how we’re able to create opportunities for our podcast hosts outside of the traditional audio driven mediums.”

Radio Sales Pro Steve Lapa is This Week’s Guest on Harrison Podcast

Audacy announces it will report its 2023 first quarter financial results before the market opens on Wednesday, May 10. The company will host a conference call and simultaneous webcast at 10:00 am ET that morning to review the results and recent progress against its strategic initiatives.

Hillsdale College announces the launch of the new podcast, “The Larry P. Arnn Show,” hosted by college president Larry Arnn who interviews distinguished guests to Hillsdale’s campus. It’s one of the school’s programs on its new integrated Hillsdale College Podcast Network that also features “The Radio Free Hillsdale Hour,” “The Hillsdale Dialogues,” and “The Hillsdale College K-12 Classical Education Podcast.” The show’s first guest is Florida Governor Ron DeSantis, who visited Hillsdale’s campus on April 6.

PodcastOne launches the new podcast “Turtle Time with Ramona and Avery” starring reality television’s Ramona Singer and her daughter, Avery. Martha Zoller is This Week’s Guest on Harrison Podcast

WDUN, Gainesville, GA mid-morning host Martha Zoller is this week’s guest on the award-winning PodcastOne series, “The Michael Harrison Interview.” Zoller is a longtime conservative force in Georgia and a regularly sought media “go-to” source across the nation for insight into the impact of Peach State politics. During her formidable broadcasting career, this dynamic wife, mother, grandmother, businesswoman and student has pivoted between holding positions on key talk stations and performing stints in politics and the public sector. These include being State Director of Field Offices for Governor Brian Kemp. She’s also worked for former U.S. Senator David Perdue in senior staff positions. Back in 2011, she announced her candidacy for Congress in Georgia’s new 9th Congressional District and temporarily left the airwaves to campaign full time. She made it to the runoff in that race, but did not win, although her impressive showing was a victory unto itself. Among her many roles, she has served on the Georgia State Board of Education since 2020. LiveOne Extends PodcastOne Spin-Out Date to April 20

LiveOne states that its previously announced plan to spin-out PodcastOne as a separate, publicly traded company is being extended to April 20. LiveOne also says that it anticipated that shares will open at between $8 and $12 per share. The good news for LiveOne shareholders is the company expects to increase the dividend of PodcastOne shares to between 12% and 16%. After completion of the successful spin-out – which the company notes is not guaranteed to happen – LiveOne will own approximately 86.3% of the PodcastOne common stock. LiveOne also reports that PodcastOne has repaid $1 million of its debt convertible at $3 and expects to repay an additional $1 million to $2 million. LiveOne intends for PodcastOne stock to be traded on the Nasdaq Capital Market under the ticker symbol PODC.

LiveOne Regains Nasdaq Compliance

LiveOne – the parent company of PodcastOne – announces that it has received formal notice from the Listing Qualifications Department of the Nasdaq Stock Market that it has regained compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2). The notice indicated that it is a result of the closing bid price of the company’s common stock having been at least $1.00 per share for a minimum required number of consecutive business days. Separately, today (4/7) is the date that LiveOne has set for spinning out PodcastOne as its own publicly traded company.

Gerald Celente is This Week’s Guest on Harrison Podcast

LiveOne Reports Operating Results; Files to Spin-Out PodcastOne

LiveOne – parent company of audio services PodcastOne and Slacker – reports operating results for its third quarter of Fiscal 2023 and the first nine months of Fiscal 2023. At the same time, it announces that it is following through with its plan to spin-out PodcastOne into a separate company by filing an S-1 with theLogo - Font Securities Exchange Commission. For the company as a whole, LiveOne reports Q3 Fiscal 2023 revenue of $27.3 million – a decrease of 17% from the same period in Fiscal 2022. However, the company has reduced its net loss for the quarter from $11.8 million in Fiscal 2022 to $3.2 million. Its Audio Division that includes PodcastOne and Slacker produced record revenue of $22 million in Q3 Fiscal 2023 compared to $19.1 million in the same period in the Logo - Fontprior year. LiveOne’s CEO and chairman Robert Ellin comments, “Over the past year, we have been laser focused on optimizing and streamlining our operations, led by our audio business, which includes Slacker Radio and PodcastOne. The combination of improving Contribution Margins, coupled with over $30 million in annual expense and overhead reduction, is resulting in record operating results. We are excited about the continued strong growth of paid memberships coming largely through B-to-B partnerships, including our nine-year relationship with Tesla. We expect our strong operating performance to continue for the foreseeable future led by our Audio Division and for it to collectively achieve revenue in excess of $88 million in Fiscal 2023 and generate more than $18 million in Adjusted EBITDA.”

LiveOne Issues Preliminary Fiscal Q3 Data

LiveOne announces some preliminary financial figures ahead of the official posting of its fiscal year 2023 third quarter report. LiveOne says it has achieved all-time record growth of 160,000 paid members. For the thirdGraphics - Logo quarter of fiscal year 2023, the company expects revenue to be $27 million. It adds that the audio division that includes Slacker and PodcastOne will report revenue of $21.6 million for FY/2023 Q3 and for the first nine months of the fiscal year expects to report revenue of $63.5 million. LiveOne previously announced its intent to spin out PodcastOne as a separate, publicly traded company and plans to IPO Slacker this year.

Dr. Murray Sabrin Guests on Harrison Podcast
