Beasley Exercises Grace Period for Interest Payments on Exchange Notes

Beasley Broadcast Group, via subsidiary Beasley Mezzanine Holdings, LLC is electing to use the 30-day grace period for the interest payments due February 1, 2026 in the amount of approximately $8.5 million under the 9.200% senior secured second lien notes due 2028 and in theimg amount of approximately $1.7 million under the 11.000% senior secured first lien notes due August 1, 2028. In its filing with the Securities and Exchange Commission states, “The decision to utilize the grace period will not trigger an Event of Default under the indentures governing the Notes and the Company retains the right to make the interest payment to the holders of the Notes through the end of the grace period. The decision to utilize the grace period does not impact any of the Company’s business operations or obligations to advertisers, employees, suppliers or other stakeholders.” Beasley says it is “actively engaged in discussions with various stakeholders with respect to a number of potential alternatives regarding a restructuring of the Company’s outstanding indebtedness and strengthening its overall financial flexibility. At this time, no agreement has been reached regarding the Company’s indebtedness, and no assurances can be given as to the timing or outcome of this process.”

Rare 42-Year-Old Ozzy Interview (1983) Conducted by Michael Harrison Resurfaces from the Archives

The TALKERS Media Channel on YouTube has posted a gem from the deep past. This rare interview has not been seen for 42 years! The legendary rock icon Ozzy Osbourne appeared as a guest on Michael Harrison‘s “Harrison’s Mike” pioneering cable TV show. Harrison was also a DJ and talk show host on KMET at the time, as well as a nationally syndicated radio personality and trade magazine editor/columnist. At that time, Ozzy was a heavy metal icon at the peak of his badass image, on a hot solo career three years past his decade with Black Sabbath and was considered controversial – even dangerous – by the mainstream media. This amazingly candid conversation, showing the “real” Ozzy Osbourne, took place in the backyard of Harrison’s home in Woodland Hills, CA which often doubled as a sound stage for the TV show. iHeartMedia May Face Class Action Lawsuit

In the aftermath of the data breach that affected iHeartMedia in December of 2024, Tennessee resident Cheryl Shields has filed a suit in New York’s Southern District Court alleging that theimg company “did not keep secure including social security numbers, financial account details, and health insurance data.” But the thrust of her complaint is that iHeartMedia delayed notifying users. iHeartMedia didn’t conclude its investigation until last month and began the notification process on April 30.

imgWhen a blogger found “no biography, or further information about the woman who is supposedly presenting this show,” it forced Australian Radio Network to acknowledge that Artificial Intelligence supplies the voice of “Workdays with Thy” on one of its stations (CADA, available on the iHeartRadio app). “Exploring how new technology can support great content,” the network statement rationalized.

If you’re a (human) music DJ, this is chilling. If you’re a talk host, are you next? Hey, IBM’s Deep Blue defeated world chess champion Garry Kasparov in 1997, back when we were still dialing-up Internet access. So don’t think souped-up AI couldn’t someday interact with human callers. Or the fake callers vendors now offer.

Flip-the-script, to put the robot to work for you and sound local and super-relevant. Here’s how, step-by-step.

1. Use Google Trends, filtered to your metro area.

— Go to Google Trends.
— Set the location to your city, state, or region.
— Look at:
-Trending Searches (daily hot topics)
-Related Queries (people often search “near me” + other urgent needs)

2. Focus on “Near Me” signals that reflect tension, urgency, or curiosity

— “Near me” searches usually spike when:

– People have a problem (e.g., “urgent care near me”, “cheap gas near me”).
– There’s a trend or event (e.g., “earthquake near me”, “protest near me”).
– There’s fear, confusion, or excitement (e.g., “layoffs near me”, “concerts near me”).

— These are rich veins for call-in topics because:

– They touch emotions (fear, anger, hope).
– They’re localized — content your new-tech audio competitors won’t have.
– They’re now — you can spin them for immediate reaction.

3. Translate “Near Me” searches into talkable angles

— Example:

Search Trend Possible Call-In Topic
“Layoffs near me” “Are you worried about job security? Have you or someone you know been laid off recently?”
“Protests near me” “What’s your take on the demonstrations downtown? Are they making a difference or making things worse?”
“Gas prices near me” “Have high gas prices changed your driving habits? Are you cutting back or just absorbing it?”

4. Bonus Tip: Cross-Reference “Near Me” with social media buzz

— Use X (Twitter) trends and Facebook community groups to see if local chatter matches what Google is showing.

5. Create a simple daily habit

— Spend 5 minutes a day on Google Trends.
— Pull one or two local “near me” topics.
— Frame them into emotionally loaded questions for on-air teasing:

– “Do you feel less-safe after [recent incident? [phone number].”
– “Have YOU or someone you know been affected by the [local layoffs]?”

Evidence that you can make AI your assistant, and not your replacement? I asked ChatGPT to outline the instructions above; and this fill-in-the-blanks a Topic Mining Sheet you can use daily to systematically turn Google “near me” trends into great call-in topics.

Hillsdale College Student Wins First Place Honors at IBSNYC 2025

Among the winners of the college awards given out at the IBSNYC 2025 conference last weekend (of which TALKERS was a participating sponsor), was Hillsdale College junior Emily Schutte. She takesimg home first place for Best Newscast.  in the annual Intercollegiate Broadcasting System College Media Awards. Winners were announced on March 8 in New York City. WRFH/Radio Free Hillsdale 101.7 FM general manager Scot Bertram says, “I’m proud of Emily and all of our WRFH students for their work. There were thousands of submissions from college stations across the country, and it is exciting to see one of our students accept top honors in a very important category.” WRFH had finalists in eight categories. New Vince Coglianese Show Replaces WWO’s Dan Bongino Show

Cumulus Media announces that current WMAL-FM, Washington, DC afternoon drive host Vince Coglianese is taking over as host of the Westwood One nationally syndicated 12:00 noon to 3:00 pm program currently hosted by Dan Bongino, who will exit after his March 14 show to become deputy FBI director. The deal includes “The VINCE Show” airing in the early afternoon daypart and the one-hour “VINCE” podcast dropping daily. Silverloch Productions, founded by Dan and Paula Bongino, will produce the VINCE podcast to be distributed by the Cumulus Podcast Network. “The VINCE Show” will launch on Westwood Oneimg with more than 250 affiliate stations. Schmaeling Resigns as Audacy CFO – No Replacement Named

SchmaelingAudacy, Inc. announced the resignation of chief financial officer, Rich Schmaeling, effective immediately (2/10), to pursue other business opportunities. Schmaeling will remain available to the company as needed to ensure an orderly transition of his responsibilities. Michael Harrison Advises College Broadcasters to Cautiously Embrace the Artistic Potential of New Technology at IBS Conference

The 85th annual Intercollegiate Broadcasting System (IBS) conference took place this past Friday and Saturday (3/1-2) at the Sheraton Times Square hotel in New York City drawing some 800+ student broadcasters, faculty, and administrators from campus stations across the nation.  TALKERS founder and multi-radio format pioneer Michael Harrison was among the event’s featured speakers. Harrison’s one-hour address titled, “The Next 10 Years of Media and Popular Culture is…?” brought up as manyim questions as it did answers about what young broadcasters entering professional media today should be prepared for in navigating the unpredictably turbulent waters of the next decade and beyond. Among the sweeping panorama of topics covered in his address, Harrison told the students, “When looking to the future, don’t be too sure that current events will follow a predictable script. There are always ‘black swan events’ that change the storyline and our expectations in an instant. Plus, there are multiple outcomes, possibilities, and forks in the road for almost every situation.” Regarding the current focus on artificial intelligence, Harrison advised, “All technology is a double-edged sword and AI will prove to be a particularly consequential one with both positive and negative implications. However, don’t fall into the age-old trap of thinking that productions and performances created or enhanced by new technology are necessarily ‘artificial’ or ‘fake.’ New tools not only create new art, they have an irrepressible influence on giving rise to new culture. The immediate years ahead are likely going to provide us with the challenging question of ‘what does it mean to be truly human?’” Harrison concluded, “As young broadcasting students in 2024 looking to make a difference in the world, be prepared to face the challenge of following your dreams, ideals and inspiration while confronting the harsh realities of making a living in a stressed environment of relentless change. We live our lives in this business at the dangerous intersection between art and commerce.”

Audacy and Creditors Agree on Extension of Grace Period

As Audacy continues to engage in discussions with its creditors with respect to potential alternatives regarding a restructuring of its outstanding indebtedness, the company gains an extension on the grace periods before defaulting. Regarding its latest Credit Facility Amendment, it “extends the grace period before which a default in the payment of interest matures into an Event of Default to 68 calendar days. However, if lenders holding a majority of the outstanding obligations under the Credit Facility have notim received a substantially final form of agreement with respect to a consensual transaction relating to the Issuer’s funded indebtedness satisfactory to such lenders on or before December 15, 2023, the grace period extension expires after 45 calendar days. This is relevant to the following Credit Facility interest payments: approximately $17,000,000 originally due on October 31, 2023; approximately $785,592 originally due on November 8, 2023; and approximately $1,125,000 originally due on December 28, 2023. Regarding the Receivables Facility Amendment, it amends the cross-default that would otherwise occur under the Receivables Facility in respect of certain defaults in the payment of interest under the Credit Facility, with the effect that such interest payment defaults will not result in an event of default under the Receivables Facility until the expiration of the 68 or 45 calendar day grace periods… and extends certain related covenant accommodations with respect to the Company’s liquidity position through January 7, 2024.”

In SEC filings made on November 29, Audacy gets extensions on the grace periods before default on its Credit Facility to January 9, 2024 and on its Receivables Purchase Agreement for the October Audacy Party Payment to December 10 and the November Audacy Party Payment Due Date to December 11.im The filing comes as Audacy “continues to engage in discussions with its creditors with respect to a number of potential alternatives regarding a restructuring of the Company’s outstanding indebtedness.” It also announces in the filing that JPMorgan Chase Bank, N.A. has resigned as Letter of Credit Issuer and Swing Line Lender (both as defined in the Credit Facility) and that Wilmington Savings Fund Society, FSB was appointed as Administrative Agent and Collateral Agent under the Credit Facility.

Larry Elder Exits Presidential Race

As reported by UPI, conservative talk media personality Larry Elder suspends his campaign for theim GOP presidential nomination and says he’ll put his support behind Donald Trump. “As I look at the path forward, and after careful consideration and consultation with my campaign team, I have made the difficult decision to suspend my campaign.” Elder was unable to get a spot on either of the two Republican presidential debates held so far. WWO: Why AM/FM Radio is a Great Place to Promote Podcasts

This week’s Cumulus Media | Westwood One Audio Active Group blog investigates the connection between AM/FM radio listening and podcast listening and concludes that “a majority of the podcast audience also listens to AM/FM radio and vice versa.” It reports that Edison Research’s Infinite Dial study reveals that of the weekly AM/FM radio audience 45% listen to podcasts weekly, 55% listen to podcastsim monthly, and 77% have ever listened to podcasts. “All of this podcast and AM/FM radio audience duplication means there are great cross-promotion opportunities.” Among the podcast audience, over half the ad-supported time spent goes to podcasts themselves at a 53% share. AM/FM radio follows with a 37% share. Distantly following are ad-supported SiriusXM (4%), ad-supported Spotify (3%), and ad-supported Pandora (3%). Additionally, MARU/Matchbox was commissioned to study Cumulus Media radio listeners who listened for at least an hour to stations in Dallas, Chicago, Detroit, San Francisco and Atlanta and were exposed to promos for eight Cumulus Podcast Network podcast titles. Overall, 54% of the Cumulus radio audience were aware of the eight Cumulus Podcast Network podcasts. A much larger promotion of heavy AM/FM radio listeners (67%) were aware of the podcast titles, and a whopping 75% of the heavy AM/FM radio streaming audience were aware of the podcast titles. A couple of my clients will travel to Milwaukee to wrap pre- and post-game color around the play-by-play. So, yuh, they’re irked.

I talked one client down-off-the-ledge, by reminding him that anyone who wants to watch the debate, and can, will. And that anyone who’s driving cannot and won’t likely drive distractedly-enough to somehow stream it from a website in-car.

For decades, I’ve scripted promos for events like this, and the Super Bowl and World Series, by offering that “if you’ll be in the car tonight,” and/or “if you can’t be near TV,” and/or “if you’ll be at work,” we’ve got it on radio.

Hey, if I was FOX News Radio, I’d do the same thing. But when one client called to complain and asked “could you at least add ‘…and many of these FOX News Radio stations?’” he was told they’d run-it-up-the-flagpole.

It could be worse. You’re not a TV station.

THEY should be livid, as NBC uses affiliates’ air to say watch Peacock. Channel-surf, and you will be lured to Paramount+ or Discovery+ or Disney+.

And this didn’t happen overnight, as I demonstrated several years ago in a TV report about the TV switch-pitch (https://youtu.be/2o3CpTz66JY).

So, embrace radio’s preeminence in-car, and not just when plugging special coverage. Program and promote everything as though you’re talking to busy people behind the wheel. Nobody sitting stiller will feel rushed.

Pending Business: The Agony of Complacency

imWhat happens when the world-wide leader is for sale? When they stopped spanning the globe 25 years ago, I thought the budget cut would help the leader. I could still hear the great Jim McKay describing the agony as Vinko Bogataj rolled down that ski slope in utter defeat. There were so many different images of the thrill of victory, but for most of the 37 seasons of “Wide World of Sports,” the agony of defeat was forever connected to that helpless Yugoslavian skier.

Maybe the real story of Disney/ABC/ESPN’s “Wide World of Sports” is lost in the silo of being first in on the marketing ladder and not recognizing opportunity.

The world-wide leader was the first to televise Wimbledon, the Indy 500, and who could forget the Pro Bowlers Tour? Not recognizing the need to expand into targeted sports coverage, pre-empt competitive efforts, and experiment with new media may be a flaw in an otherwise crown jewel. Did Mickey Mouse see the “Rugrats” coming? You mean history repeats itself when the successful get complacent and positive paranoia is the domain of the dot-com entrepreneurs?

Ok, it’s getting a little heavy here. This column is about sales and marketing, not business theory or case studies. Or is it?

The lessons here are classic and are a direct connect to your commission check.

ESPN is searching for answers, and when billions in ad sales, cable fees, streaming subscriptions and theme park attendance isn’t enough to goose the growth curve, well, Houston, we’ve got a problem. But let’s learn how to work with what surrounds us.

— What are the biggest challenges to your business base?

— Can you identify the challenges in your control, and which are not?

— How would you rank your competitors?

— As your local ad market shifts into more digital advertising, who are the winners?

— Can you name the five biggest digital-social media ad spenders in your market?

— Do you keep updated on new ad marketing opportunities presented to your clients?

Forgive the blurry lines that connected the dots in the Disney-ABC-ESPN story. The business lesson, however, is clear. Sellers can only control what they are asked to sell. But when complacency sets in at any level, take a time out and rethink your playbook.

Audacy Faces Stock Delisting from NYSE

Just eight days before its 2023 shareholder meeting at which it planned to put a reverse stock split to a vote, Audacy, Inc receives notice from the New York Stock Exchange that it is commencing proceedings to delist Audacy’s Class A Common Stock from the exchange due to Audacy’s stock reaching “an abnormally low selling price.” Trading of Audacy’s Class A Common Stock was halted on Tuesday (5/16) after the share price fell about 12% to $0.09 per share. Now, the NYSE will apply to the Securities and Exchange Commission toim delist the company’s common stock pending completion of applicable procedures. Trading of Audacy’s common stock on the NYSE is suspended but the common stock will continue to be able to be traded over the counter. Audacy says it intends to appeal this determination by the NYSE by filing a written request within 10 business days after receiving the notice. Audacy chairman, president and CEO David J. Field says, “Over the past few years, we have taken a number of transformational actions to give Audacy a leading, differentiated, and scaled position in the dynamic audio space, including podcasting, streaming audio, and our leadership presence across the country’s largest markets and our unrivaled strength in sports and news radio. While we are disappointed by the NYSE’s decision, we are hopeful we will find our way back to the exchange later this year as we execute our action plans which include a reverse stock split to satisfy NYSE rules, the continued execution of our liability management plans and working with our financial advisors to refinance our debt. Further, as macroeconomic conditions stabilize, we believe we will benefit from a general market recovery and will be able to capitalize on our investments in strategic transformation that position Audacy well for the future.”
