Townsquare Media Second Quarter Net Revenue Rises 13.6%. For the second quarter of 2022, Townsquare Media is reporting net revenue of $121.9 million, an increase of 13.6% over the same period in 2021. The company also reports net income of $4.9 million, a decrease of $5.2 million from Q2 of 2021. Townsquare’s financial data is broken in to three primary segments: Subscription Digital Marketing Solutions, Digital Advertising, and Broadcast Advertising. The Subscription Digital Marketing Solutions segment includes its subscription digital marketing solutions business, Townsquare Interactive. The Digital Advertising segment, marketed externally as Townsquare Ignite, includes digital advertising on the company’s owned and operated digital properties and its digital programmatic advertising platform. The Broadcast Advertising segment includes its local, regional, and national advertising products and solutions delivered via terrestrial radio broadcast, and other miscellaneous revenue that is associated with the broadcast advertising platform. The Subscription Digital Marketing Solutions segment’s net revenue rose 13.7%, the Digital Advertising segment’s net revenue was up 25.4%, and the Broadcast Advertising segment’s net revenue rose 1.0%. Company CEO Bill Wilson states, “I am proud to share that the Townsquare team delivered another quarter of strong revenue and profit growth, and in doing so, we achieved all-time record highs for both net revenue and Adjusted EBITDA. Our performance clearly demonstrates the strength and differentiation of our digital businesses and our legacy broadcast business. Townsquare’s second quarter net revenue increased year-over-year by 14%, exceeding our guidance range, and Adjusted EBITDA increased 7% year-over-year, meeting our guidance range. In addition, our digital revenue growth accelerated from the first quarter (Q1 +16% year-over-year), with second quarter total digital revenue increasing 21% year-over-year. Our strong top-line growth, margin profile, and cash generation characteristics have contributed to the reduction of our net leverage, now at a historical low of 4.65x as of June 30th, including the repurchase and retirement of $19 million of our Senior Secured Notes at or below par in Q2. We are also pleased to announce that we are raising our FY 2022 guidance following the close of the Cherry Creek acquisition on June 17th. Our updated full-year guidance reflects the ongoing momentum of our business and the strength of our performance to date, fueled by our differentiated digital platform. As a Digital First Local Media Company focused principally on markets outside of the Top 50 in the United States, we have a resilient digital growth engine supported by subscription digital marketing solutions, with a large addressable market and limited competition. As we move forward, we expect double-digit digital net revenue growth to continue at strong margins, reaching our digital revenue target of at least $275 million in 2024. With half of our total revenue and profit coming from digital today, it is our belief that over time as digital continues to meaningfully grow, Townsquare should and will be afforded a sum-of the-parts valuation that our digital assets deserve.”

70 Years of WGN-AM, Chicago Audio Archived at Northwestern University. As the result of a gift from WGN-AM, Chicago’s parent company Nexstar Media Group, a 70-year swath of the radio station’s audio archive now resides at Northwestern University Libraries in the Charles Deering McCormick Library of Special Collections and University Archives. The station says, “The archive, with materials covering 1941 to 2011, includes more than 15,000 items, primarily magnetic media (open reel tapes, compact cassettes, continuous-loop “carts,” U-matic videocassettes and VHS tapes) as well as other media such as grooved discs, CDs and minidiscs. The bulk of the audio dates to the 1980s and 1990s, a period of innovation and surging popularity for the station.” Scott Krafft is curator of special collections at Northwestern and he says that the archive contains thousands of hours of audio that will need to be cataloged and, where necessary, digitally preserved before they can be made publicly available. He adds, “It’s a remarkable collection that represents a significant sampling of Chicago history, including local and national news. In addition, the voices of WGN Radio’s most popular programs are represented here, making this an important archive for the history of the entire field of radio broadcasting.” WGN Radio VP and general manager Mary Sandberg Boyle comments, “Given the long and storied connection between WGN Radio and Northwestern University, it is most fitting that this audio collection, drawn out of 70 years of our broadcast history, will be under their care. While digitizing it will be a substantial undertaking for the Northwestern Libraries, ultimately, this will be a permanent and invaluable repository and resource for years to come. We trust their expertise and are proud they are the caretakers in this endeavor.”

It has been an honor and a privilege to be part of the 102-year history of KNX and to lead this amazing group of professionals. I am extremely proud of what we’ve accomplished together. We’ve covered every type of story imaginable, fires, earthquakes, a global pandemic, protests in the streets, two of the most intense elections ever, a Dodgers World Series victory, a Lakers NBA championship, the Rams first LA Super Bowl title (sorry Kings) and so many more. We celebrated KNX’s 100th anniversary and won the first two national Edward R. Murrow awards in the station’s 54-year all-news history. We’ve evolved the station’s sound, grown our ratings, expanded our digital footprint and become a leader in the company. Finally, we moved KNX to the FM dial and became KNX News 97.1 FM. There are so many of you I want to individually acknowledge and thank for making my seven years at KNX an amazing experience, but I don’t want this to become an Oscar speech and be played off this email. However, I do want to thank my partner in our success, our news director, Julie Chin. None of the above happens without Julie’s help, counsel, insight, friendship and hard work. She will continue to be a steady hand in the continuing success of KNX and keep the momentum we’ve built going.”

TEACHING NEW GENERATIONS ABOUT “RADIO.”  New C. Crane Emergency Radio a Big Hit at TALKERS 2022 Nationally syndicated radio talk show host Walter Sterling of “Sterling on Sunday” scored a home run with his grade-school-aged daughter Samantha (shown above) upon returning from TALKERS 2022 with a magical device known among communications wizards as the CCRadio Solar.  The first 200 registrants to arrive at the June 10 TALKERS 2022 convention were surprised and delighted to find a real special premium, individually handed to them by iconic radio manufacturer/distributor C. Crane for their conference goodie bag. Each attendee received an amazing CCRadio Solar radio unit – valued at $99.99 retail – and the result was raves all around. The CCRadio Solar is a small digital portable radio that is successful as an emergency radio, but the form and format function invite its owner to use it daily. When placed in a sunny window, it’s perfect for the morning news. Audio quality is a surprise; it’s accurate, pleasing and has two modes. A miser mode to conserve battery power in a true emergency and a high-power mode for an even better audio experience. Reception is good for the size. The almost brick-size depth and unique UV resistant rubber perimeter is concave on the bottom which makes it inherently stable. The flashlight is above average in brightness and color because of the selected high-quality LED. The hand crank folded (that’s right, it can be cranked for power) and inlaid on in the back is the only visible clue that it’s an emergency radio. The included lithium-ion battery can be recharged by wind-up, solar panel, your USB port, or optional AC power adapter (not included). When the lithium-ion battery is fully charged, the radio will run more than 50 hours or charge your phone from the approximately 50% level to 100% level. It can also be powered by three “AA” alkaline batteries (not included) for approximately 50 hours in low power mode or 35 hours in high power mode. C. Crane founder Bob Crane tells TALKERS, “I brought the first CCRadio Solar home and my wife absconded with it until our designer/illustrator had to beg to get it back for documentation. To get it back from him was also overly arduous. I have never seen a radio so coveted. It is about hand-size and it stays charged in a sunny window with an oversize solar panel which means it may not need a power assist for years.” TALKERS founder Michael Harrison says, “The radio industry owes a great debt of gratitude to C. Crane for keeping the appliance known as a ‘radio’ alive in the consumer electronic marketplace and ever-innovative for decades after the business itself abandoned the idea that it would be a good thing to promote and support the appliance as being at least as important a device as a can opener. Shame on the NAB as well as the rest of us for committing this potentially lethal negligence.”  To learn more about this fabulous device and enjoy a TALKERS discount on C.Crane purchases, please click here.

Legislation Gains Steam To Allow Cannabis Ads on Radio. Language on a House Appropriations committee bill advanced last Friday (6/24) would prevent the FCC from taking administrative action against broadcasters accepting cannabis advertisements consistent with the law of the state or jurisdiction in which the station is licensed. NAB spokesman Alex Siciliano comments, “We are pleased to see this bipartisan language has advanced in the House. As the vast majority of states have legalized cannabis in some form, today marks a long overdue step toward finally allowing broadcasters to receive equal treatment regarding cannabis advertising that other forms of media have had for years. While we welcome [Friday’s] progress, local broadcasters will continue to work with all policymakers towards a broader resolution of this competitive disparity and in support of our unique service to local communities.” New York State Broadcasters Association president David Donovan adds, “We are grateful to House Appropriations Committee chair Rosa DeLauro; subcommittee chair Mike Quigley; and members of the committee for recognizing the unfairness of the present situation with respect to cannabis advertising. The provision in this appropriations bill is a major step forward for leveling the playing field for local broadcasters. We believe the law of the state in which a station is licensed should determine whether a station can accept cannabis advertising, if they so choose. We look forward to working with members of Congress and the administration to help restore parity between local broadcasters and other media outlets.” In states that have approved cannabis for medical and/or adult use, local radio and television stations have been unable to accept advertisements from legally-authorized cannabis distributors. Meanwhile, cable; satellite; internet; print; magazine; billboards; and social media platforms are free to accept and transmit these ads.

Urban One First Quarter 2022 Net Revenue Rises 23%. Reporting financial data for the first quarter of 2022, Urban One, Inc. – parent of Radio One – says its net revenue was approximately $112.3 million, an increase of 23% from the same period in 2021. Broadcast and digital operating income was approximately $48.4 million, an increase of 33% from the same period in 2021. Net income was approximately $16.4 million or $0.32 per share (basic) compared to $7,000 or $0.00 per share (basic) for the same period in 2021. Urban One CEO and president Alfred C. Liggins, III, states, “We had extremely strong first quarter performance across the platform, with advertising revenues up double-digit percentages in all of our operating segments. Digital revenues were up 49.5%, cable TV advertising revenues were up 46.9%, and radio advertising, excluding political and digital, was up 17.4%. This enabled us to grow Adjusted EBITDA by 38.9% year-over-year, and by $14.3 million or 51.6% vs. Q1 2019. Looking back at pre-pandemic revenues, when we aggregate our radio broadcasting, syndication, events and digital operations, net revenues were up 11.5% compared to Q1 2019. Second quarter core radio advertising is pacing up mid-single digits, as we start to lap the tougher comps from 2021. Our balance sheet continues to strengthen, with $166.4 million of cash and net leverage down to 4.07x.”

Cumulus Announces $25 Million Stock Buyback. On the heels of yesterday’s first quarter financial report and the board’s authorization of a $50 million buyback program, Cumulus Media Inc. announces its intention to commence a “modified Dutch auction” tender offer to purchase up to $25 million of shares of its Class A common stock, or such lesser number of shares of its Class A common stock as are properly tendered and not properly withdrawn, at a price not greater than $16.50 and not less than $14.50 per share of Class A common stock, to the tendering shareholder in cash, less any applicable withholding taxes and without interest (the “Offer”). Cumulus president and CEO Mary G. Berner says, “Following yesterday’s announcement of the board’s authorization of a $50 million share buyback program, we are launching this tender as a first step in our capital return plan. This action is underpinned by our strong financial and operating momentum, our continued belief that the company is significantly undervalued and our desire to allow shareholders who seek it the ability to take advantage of the liquidity we can provide them. It is also our expectation that, even with this tender offer, we will be below our target of 3.5x net leverage by year end with significant continuing liquidity and financial flexibility for accretive M&A.” Cumulus will conduct the Offer by means of a procedure commonly called a “modified Dutch auction.” This procedure allows shareholders to select the price, within a price range specified by Cumulus, and the number of shares they are willing to sell at that price (or, should a higher price be determined as the “purchase price,” such higher price). The Offer is being made under Cumulus’s previously announced $50 million share repurchase program.

I’m consistently being shadow-banned on social media, corporate media refuses to cover my campaign, and the issues we need to discuss like CRT/SEL in schools, medical freedom, and other hot topics are virtually banned on social platforms that censor We the People, in America! The Illinois GOP even has me blocked on Twitter, and I’m running on their ticket! Hosting my own show on the radio home of Bongino, Shapiro, and Levin will allow Dubiel to speak directly to the people. The people in every county across Illinois need to know they have a guy who will actually represent them for a change. I am looking forward to talking to ALL Illinoisians about the issues that matter to them.” The 45-year-old Dubiel says he began his career in radio at 17, interning for the legendary Steve Dahl. He worked his way up through the radio ranks in Chicago, serving as a producer and talent, before transitioning into management.

He assesses his endeavor as “more of a mission,” rather than a conventional news/talk show, succinctly mentioning the “Neighbor’s Choice” title “felt right” when he started this project approximately seven years ago. “It actually began as an informal book club with some friends I gathered together. We try to make sense of current events through the lens of anthropology – I called our little group ‘a neighbor’s choice.’ I thought we need to shake things up by taking ideas we’ve been [discussing] in our neighborly community to the public. I wanted to introduce a new way of looking at things and began doing a podcast online in 2015.” He says that he views Joe Rogan’s podcast success as something radio should look at. “Joe Rogan does a fantastic show and has been able to build a parallel universe with a younger demographic. If we bring a young, relevant, fresh and interesting perspective to talk radio, there’s no reason why we can’t have 11 million young people tuning into a [terrestrial] radio show.” Read more here.

Newsmax TV Has Boots on the Ground in Ukraine. The news and talk network Newsmax TV is delivering the latest from Ukraine thanks to its two correspondents Sarah Williamson and Chuck Holton. Since early February of this year, Newsmax has had two television correspondents stationed in Ukraine tracking the escalating tensions and full-scale invasion.  Australian Sarah Williamson joined Newsmax only in December and was quickly assigned to the European war zone. Her experience includes covering the Palestinian-Israeli conflict for Israel’s i24 News for four years. Veteran war correspondent Chuck Holton is described by Newsmax’s chief content officer Elliot Jacobson as the company’s conflict zone correspondent. Most recently, he was reporting from Panama about migrants moving north toward the U.S. border. Jacobson says of their work in Ukraine, “We’re getting some unique perspectives. We’re talking to people on the ground. We have interviewed Ukrainian officials. We’re not just reporting without any interaction with the locals.” Newsmax has taken a stance in the conflict saying it “strongly opposes Putin.” Newsmax CEO Christopher Ruddy adds, “Newsmax believes Russia has made a major transgression and this should be condemned strongly by all people. I think we are seeing for conservatives a clarity moment where FOX News’ main host is stating categorically, he is siding with Putin and Russia in support of the invasion. Newsmax supports President Biden’s efforts to stop this invasion. If anything we think he is not being strong enough. We believe there is a bipartisan consensus in opposition to this dangerous aggression.”

Talk Radio Host Dr. Asa Pursuing Pro Wrestling Dream. Nationally syndicated talk radio and television personality Dr. Asa Andrew (right) is pursuing his dream of being a pro wrestler at the not-so-tender age of 50 – and he’s doing it with the help of WWE three-time World Heavyweight Champion Diamond Dallas Page (left). But after turning 50 and being asked if he has any regrets considering his vast accomplishments in medicine and media, he said, “I started a professional wrestling career years ago, and due to several life events, I wasn’t able to finish. I finish everything that I start.” In 2000, Dr. Asa was invited to an open tryout at the original WCW Power Plant in Atlanta. There he was one of two out of 35 that made it and was offered a contract. Paul Orndorff and Jody Hamilton ran the facility and told him to go finish his doctorate, and then he would start. Dr. Asa had nine months left to complete his degree, and during that time Vince McMahon bought WCW, and the opportunity was gone. His next chance had to be passed on as Dr. Asa’s father was dying of cancer and Asa knew he had to be there for him. Years later, Dr. Asa and his friend Dallas Page – whose backstory is that he is the oldest to successfully start a career in professional wrestling – decided the time is now to start that journey. Dallas called Cody Rhodes and QT Marshall with AEW’s affiliated developmental school, The Nightmare Factory, in Atlanta, and Dr. Asa started their training camp in October. As Dr. Asa continues to pursue his dream, he and Dallas Page are filming a new documentary on helping others transform their health that will be released sometime in the upcoming year.

Among the many lessons learned that day, the public was undoubtedly reminded of broadcasters’ critical role in bringing information to the public, especially during times of crisis.
