New Skydance Company in Control of CNN
The merger of Paramount and Warner Bros. Discovery became official today as the companies come together under the new moniker Skydance, led by CEO David Ellison. The new company also includes the two news divisions CBS News and CNN. TALKERS publisher Michael Harrison (right inside) was a guest this morning (10/6) on Newsmax TV’s “Wake Up America” program co-hosted by Mark Lotter (l) and Sharla McBride (r) along with veteran journalist Dennis Kneale (left inside) to provide analysis about what the merger will mean to CNN’s programming. The question was: will the change of ownership push CNN’s programming to the “center” or “right?” Harrison said that “ratings and revenue” will ultimately determine CNN’s political positioning regardless of who owns it. He explained – from an industry programming perspective – it is a mistake to assume that like-minded TV news channels are allies. You can see the Newsmax segment here.

In a January 21 letter to Mamdani and Taxi and Limousine Commissioner Midori Valdivia, Hoylman-Sigal stated the cabs should not carry Newsmax because of its “politically charged content.” The letter went further, stating Newsmax “is not a credible news source for New Yorkers. I urge you to summarily suspend the NYC Taxi and Limousine Commission’s partnership with Curb… and demand that Curb cease its collaboration with Newsmax as a condition of licensure given the platform’s history of misinformation and disingenuous reporting.” Newsmax says, “This is a pure act of censorship targeting a news organization reaching over 50 million Americans regularly. Newsmax plays it straight and that drives the far left crazy.” 
Reagan lived a life shaped by conviction, purpose, and an abiding devotion to President Reagan’s ideals.” Reagan began his talk radio career in the late 1980’s first doing commentary on KABC, Los Angeles and then hosting his own show on KSDO, San Diego. For years his radio program was distributed nationally by Radio America and then by Premiere Networks. At the time of his death, Reagan was serving as a columnist for Newsmax. If the deal is approved, Nexstar would become the largest TV station owner in the nation owning 244 television stations across 44 states. Newsmax CEO Christopher Ruddy says, “This merger would create an unprecedented and dangerous consolidation within the broadcast TV industry, giving them immense control over local news and political news coverage.” Newsmax says that the national television ownership cap was set by Congress at 39% of U.S. television households in 2004 and explicitly stripped the FCC of authority to modify it and argues that any change in the cap by the FCC, including waivers, is a direct violation of law.

CNN, FOX News Media, NBC News, and Newsmax are declining to sign the agreement. A joint statement from ABC News, CBS News, CNN, FOX News Media, and NBC News says, “Today, we join virtually every other news organization in declining to agree to the Pentagon’s new requirements, which would restrict journalists’ ability to keep the nation and the world informed of important national security issues. The policy is without precedent and threatens core journalistic protections. We will continue to cover the U.S. military as each of our organizations has done for many decades, upholding the principles of a free and independent press.” Newsmax adds, “We are working in conjunction with other media outlets to resolve the situation. We believe the requirements are unnecessary and onerous and hope that the Pentagon will review the matter further.”

They try so hard to be unbiased that they’re actually biased against conservatives at this point. But this shouldn’t be surprising. These are networks that banned me for two-and-a-half. I’m barely on anymore. I know my father was banned.” However, TALKERS has learned that Donald Trump Jr. appeared on FOX News Channel four times recently – on August 13 and September 3, 11, and 12. He told Salcedo 
“FOX’s approach has left conservatives silenced while Democrats and establishment figures get free rein.” The president recently complained about FNC in a post on Truth Social in which he singled out White House correspondent Peter Doocy for talking to Arizona Senator Mark Kelly about his healthcare agenda. He wrote, “Why is Fox News and Peter Doocy putting on Democrat Senator Mark Kelly to talk about, totally unabated or challenged, Healthcare?” SiriusXM’s Megyn Kelly recently complained about FOX News Channel’s coverage of Charlie Kirk’s slaying, saying, “It’s really bothering me how FOX News is talking about Charlie, like he was theirs — he wasn’t. It’s a lie. Just stop.”
“The most common type [of shotgun pleading] – by a long shot – is a complaint containing multiple counts where each count adopts the allegations of all preceding counts, causing each successive count to carry all that came before and the last count to be a combination of the entire complaint.” The suit was dismissed without prejudice which gives Newsmax the opportunity to file an amended complaint, but it must do so by September 11 and “must not contain any successive counts that incorporate all prior allegations.” Judge Cannon also adds that if an amended complaint is filed, “each count must identify the particular legal basis for liability and contain specific factual allegations that support each cause of action within each count.

A FOX spokesperson responded with the following: “Newsmax cannot sue their way out of their own competitive failures in the marketplace to chase headlines simply because they can’t attract viewers.” Newsmax issued the following statement in response to that saying, “If Newsmax was such a ratings failure, why has FOX spent so much time, energy, and resources to suppress us, block us, and denigrate us? The answer is obvious. Also please note that FOX in its statement does not deny any of our serious allegations.”

Further, Newsmax alleges that FOX News, “described in the complaint as a ‘must-have’ channel for distributors, leverages its market power to impose restrictions that harm consumers, stifle competition, and drive-up costs across the pay TV ecosystem.” Specifically, Newsmax alleges that “FOX conditions access to FOX News on 
agreements by distributors not to carry or to restrict competing right-leaning news channels. If distributors carry Newsmax, FOX forces them to also carry low-demand channels like FOX Business or FOX Sports 2 in their most widely viewed tiers, triggering potentially tens of millions in extra fees. These clauses penalize distributors for placing Newsmax in basic packages by requiring simultaneous promotion of FOX less popular channels.” Also, Newsmax alleges that FOX has pressured its guests to not appear on Newsmax, as well as has run online smear campaigns and hired private investigators targeting Newsmax executives to damage the Company’s credibility. Newsmax is asking the court to: 1) Declare FOX’s conduct unlawful under federal and state antitrust laws; 2) Award monetary damages as permitted by law; 3) Enjoin FOX from continuing exclusionary contracts and monopolistic practices; and 4) Order equitable relief to restore competition in right-leaning pay TV news.
Newsmax were defamatory. However, Newsmax is not admitting guilt; just the opposite. “Newsmax believed it was critically important for the American people to hear both sides of the election disputes that arose in 2020. We stand by our coverage as fair, balanced, and conducted within professional standards of journalism.” The company says Delaware Court Judge Eric Davis would not provide a fair trial wherein the company could present standard libel defenses to a jury. Newsmax CEO Christopher Ruddy says, “The Delaware Court under Judge Davis effectively enforced a confiscation of our property because our reporting was not always sympathetic to Joe Biden. The actions taken against Newsmax, and earlier against FOX News, represent a direct attack on free speech and a free press.”

His previous trip, which took place during Iranian airstrikes, was a sightseeing tour. Tim Jones says, “Traveling to Israel, especially during this consequential time, will be a life changing trip. Experiencing the Holy Land, visiting with top Israeli officials, all while literally walking in the footsteps of Jesus, will be an incredible experience for all of us in NewsTalkSTL nation.” NewsTalkSTL president of programming Jeff Allen says, “It should be an incredible week of content from Tim and Chris. CNBC reports that the rise brought the company’s market capitalization to “nearly $30 billion – surpassing the market cap of legacy media companies like Warner Bros. Discovery and Fox Corp.” Newsmax CEO Christopher Ruddy told CNBC, “Americans for a long time have been voting with their remote controls, downloads, apps to say they want Newsmax. Now investors powerfully are buying Newsmax shares because they like us, they value us and they want us to keep growing.” 
Now, is submitting IPO offering materials with the SEC and is seeking a public offering with a planned listing on the New York Stock Exchange under the symbol “NMAX” later this year. Newsmax says that its private placement investments are near the $185 million mark. Newsmax has made information about the offering available via its NewsmaxInvest.com site. The offering is available to accredited investors with an annual income of $200,000 or a $1 million-plus net worth.
